How do I download a licence agreement?

I've read the licence agreement PDF but need to add my details.

If you contact us to place an order for a digital title, we will send you a personalised agreement; you will simply need to complete the contact and IP details and sign the agreement. Otherwise, simply print the PDF file and complete the details by hand. We can, on request, send a Word file.

Who should I send the completed licence agreeement to?

Before sending the licence agreement, please ensure that we are aware of your order and that all relevant sections (contact details and IP address range) are complete..

In all instances a counter-signed copy of the agreement will be returned to you for your records.


When will my access be available?

Access to your purchased resource will be available within two working days of receipt of the signed licence agreement. Access cannot be completed until the agreeement is received.

Can I change the wording of the agreement?

Please discuss any changes that you would like to make to the agreement with us before returning the agreement.

We have already signed a licence agreement for another digital title.

In most cases it will be possible for us to issue an addendum to your original licence agreement, which will simply need to be signed by both parties.

What happens at the end of the guaranteed hosting period?

At the end of the guaranteed hosting period, Adam Matthew Digital will continue to host the resource for further five year periods on payment of a minimal percentage of the list price of the resource.

Alternatively you may decide to host the resource yourself. Back up files, which include all PDF images, XML files and XML schema, will be sent to all of our customers upon request.

What should we do if we want to cancel our access at the end of the licence term?

Each agreement is renewable at the end of the current term for a successive term unless either party gives written notice of its intention not to renew forty-five (45) days before expiration of the current term.

Are there any restrictions on the use of the resource?

The licence agreement stipulates what is authorised and what is restricted use of the digital resource:

Authorised Use (Clause II):

Authorised Users.  "Authorised Users" are:

 

Persons Affiliated with the Licensee.  Full and part time students and employees (including faculty, staff, affiliated researchers and independent contractors) of the Licensee and its immediately affiliated institutions, regardless of the physical location of such persons. Any off-campus access shall be provided only for individuals authenticated as affiliated with the Licensee as defined herein.

 

Walk-ins.  Patrons not affiliated with the Licensee who are physically present on the Licensee's premises (“walk-ins”).

 

Authorised Uses.  The Licensee and Authorised Users may make all use of the Licensed Materials as is consistent with the Fair Use Provisions.  In addition, the Licensed Materials may be used for purposes of research, education or other non-commercial use as follows:

 

Digitally Copy.  The Licensee and Authorised Users may download and digitally copy a reasonable portion of the Licensed Materials.

 

Print Copy.  The Licensee and Authorised Users may print a reasonable portion of the Licensed Materials.

 

Archival/Backup Copy.  Upon request of the Licensee, the Licensee may receive from Licensor and/or create one (1) copy of the entire set of PDF images from the Licensed Materials and one (1) copy of text from the Licensed Materials in XML format to be maintained as a backup or archival copy during the term of this Agreement or as required to exercise The Licensee’s rights under Section IX, “Licence Period”, of this Agreement. The Licensee may use the XML metadata to develop its own software on the condition that the use of that software continues to comply with this Agreement.

 

Course Packs. Authorised Users who are members of the Licensee’s faculty or staff may download and print out multiple copies of a reasonable portion of the Licensed Materials for the purpose of making a multi-source collection of information for classroom use (course-pack) to be distributed to students at the Licensee’s institution free of charge.

 

Electronic Reserve.   The Licensee and Authorised Users may store in electronic format in secure electronic data files a reasonable portion of the Licensed Materials for use in connection with specific courses of instruction offered by the Licensee and/or its parent institution.

 

Distance Education.  The Licensee may provide access to students enrolled in distance education programs offered or sponsored by the Licensee.

 

Scholarly Sharing. Authorised Users may transmit to a third party colleague in hard copy or electronically, minimal, insubstantial amounts of the Licensed Materials for personal use or scholarly, educational, or scientific research or professional use but in no case for re-sale. In addition, Authorised Users have the right to use, with appropriate credit, figures, tables and brief excerpts from the Licensed Materials in the Authorised User’s own scientific, scholarly and educational works.

 

Nothing in this Agreement is intended to limit in any way whatsoever the Licensee's or any Authorised User's rights under the Fair Use provisions of (country) or international law to use the Licensed Materials.


Specific Restrictions (Clause III):

Unauthorised Use. The Licensee shall not knowingly permit anyone other than Authorised Users to use the Licensed Materials.

 

Modification of Licensed Materials. The Licensee shall not modify or create a derivative work of the Licensed Materials without the prior written permission of Licensor.

 

Removal of Copyright Notice. The Licensee may not remove, obscure or modify any copyright or other notices included in the Licensed Materials.

 

Commercial Purposes. The Licensee may not use the Licensed Materials for commercial purposes, including but not limited to the sale of the Licensed Materials or bulk reproduction or distribution of the Licensed Materials in any form.
